What does it cost to maintain a Wyoming LLC after year one?

An active LLC must continuously maintain a Registered Agent and file an Annual Report. The state fee is at least USD 60 or 0.0002 of assets located and employed in Wyoming, whichever is greater. RA renewal, mail handling, federal filings, licences and advice in the owner’s country may add further costs.

Three points often communicated imprecisely

FinCEN BOI

Under the current FinCEN notice, entities created in the United States and their beneficial owners are exempt from BOI reporting. Bank KYC remains separate.

Liability

An LLC generally separates company liabilities from the owner, but the protection is not absolute.

Apostille

It is not automatically required. It is used when a recipient asks for authentication of an eligible public document.

FAQ

Questions that most often block the decision

Does a Wyoming LLC mean no tax?
No. Wyoming does not impose a state individual or corporate income tax, but federal, other-state and residence-country duties may apply. The result is fact-specific and requires tax analysis.
Is the owner anonymous?
Wyoming may limit owner information shown in the public state filing, but the Registered Agent keeps required records and banks, platforms and authorities use KYC. We do not offer “complete anonymity”.
Must I file BOI with FinCEN?
Under FinCEN’s position current on 6 August 2026, entities created in the United States are exempt from BOI reporting. Monitor changes; bank KYC and other registers are separate.
Is an EIN guaranteed?
No. The IRS controls the decision and timing. We coordinate a complete application workflow but cannot guarantee the authority’s outcome or deadline.
Is Apostille always required in the EU?
No. Start with the recipient and document. An Apostille authenticates an eligible public document; it does not approve the substance of an Operating Agreement or replace a translation.
Which duties recur each year?
At minimum, Registered Agent and the Wyoming Annual Report. Depending on the owner and transactions, IRS filings such as Form 5472 with a pro forma Form 1120 and residence-country duties may also apply.
